Terms of Service

1. Agreement to Terms

By accessing or using the Conseto platform, website (conseto.io), dashboard (app.conseto.io), documentation (docs.conseto.io), APIs, SDKs, Shopify App, and all related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you ("you," "your," or "Customer") and DIGITAL SPECIALISTS s.r.o., a company registered in the Czech Republic under IČO 21669261, with its registered address at Čujkovova 1714/21, 700 30 Ostrava-Zábřeh, Moravskoslezský kraj, Czech Republic ("Conseto," "we," "us," or "our").

These Terms apply to all visitors, users, and others who access or use the Services. By using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Service Description

Conseto is a Site Growth Platform that provides a unified layer for analytics, compliance, security, and marketing through a single script integration. The Services include:

• Analytics: Website analytics, event tracking, session recording, real-time dashboards, e-commerce tracking, scroll depth, file download tracking, outbound link tracking, form tracking, page time measurement, and AI-powered traffic detection
• Compliance: Cookie consent management, consent banner customization, Consent Mode v2 integration, GDPR/CCPA compliance tools, consent analytics, bot filtering, and legal document management
• Security: Website security scanning, third-party script auditing, vulnerability assessment, data leak detection, and continuous monitoring
• Marketing: Marketing attribution, campaign performance analytics, customer journey mapping, UTM builder, link tracking, and AI-powered marketing insights
• Intelligence: AI-powered insights, anomaly detection, and automated recommendations powered by Claude AI
• Integrations: Shopify App (OAuth + Theme Extension), GA4 import, Google Tag Manager, Meta Pixel, Google Ads, WooCommerce, and Looker Studio connector

We reserve the right to modify, suspend, or discontinue any part of the Services at any time. We will provide reasonable notice of material changes where practicable.

3. Account Registration and Responsibilities

3.1 Registration

To access most features of the Services, you must create an account at app.conseto.io. You must provide accurate, current, and complete information during registration and keep your account information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your password and API keys (prefixed csk_). You must immediately notify us at support@conseto.io if you suspect any unauthorized access to your account. You are responsible for all activities that occur under your account.

3.3 Account Types

Accounts may have different roles (admin, member) with varying permission levels. The account creator is the initial admin and is responsible for managing team member access and permissions. Team features are available on Starter plans and above.

3.4 Age Requirement

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account and use the Services. The Services are not intended for use by individuals under 16 years of age.

4. Subscription Plans and Billing

4.1 Plans

We offer the following subscription tiers:

Plan details, features, and limits are described on our pricing page. We reserve the right to modify plans and pricing with at least 30 days' advance notice. Existing subscriptions will honor the current pricing until the next renewal cycle.

4.2 Billing and Payments

Paid subscriptions are billed in advance on a monthly or annual basis. Payments are processed through Revolut Business and other third-party payment processors. We do not store your full payment card details on our servers. All prices are displayed in EUR (or USD equivalent where indicated). Applicable VAT/tax will be added based on your jurisdiction and business status.

4.3 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel auto-renewal at any time through your account settings at app.conseto.io. Cancellation takes effect at the end of the current billing period — you retain access to paid features until then.

4.4 Refunds

All fees are non-refundable except as required by applicable law (including EU consumer protection regulations). If you are an EU consumer and cancel within 14 days of an initial subscription purchase without having used the Services materially, you may be eligible for a refund under the EU right of withdrawal.

4.5 Overages

If you exceed your plan's session or audit limits, we will notify you and may temporarily restrict data collection until you upgrade your plan. We will not charge overage fees without your prior consent.

4.6 Free Tier

The Free plan is available indefinitely with the published feature limits. We reserve the right to modify Free plan limits with 30 days' notice.

5. Data Processing

5.1 Roles

When you use the Services to collect data from your website visitors, you are the data controller and Conseto is the data processor acting on your behalf and under your instructions. You are responsible for ensuring that your use of the Services complies with all applicable data protection laws, including obtaining necessary consents from your website visitors.

5.2 Data Processing Agreement

Our Data Processing Agreement governs the processing of personal data on your behalf and forms an integral part of these Terms. By using the Services, you accept the terms of the DPA.

5.3 Your Obligations as Controller

• Ensure a lawful basis exists for processing visitor data (e.g., consent, legitimate interest)
• Provide a privacy policy on your website that discloses your use of Conseto
• Configure the consent banner appropriately for your jurisdiction
• Respond to data subject requests from your website visitors
• Not collect special category (sensitive) data through the Services unless explicitly permitted

5.4 Conseto's Own Data

For data we collect about you as our customer (account data, billing information, usage of our dashboard), Conseto acts as the data controller. Our Privacy Policy describes this processing.

6. Acceptable Use Policy

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Collect personal data without a proper legal basis or required consent
• Track individuals without appropriate privacy disclosures
• Transmit malware, viruses, or harmful code through the SDK or API
• Attempt to gain unauthorized access to our systems, other accounts, or data
• Reverse engineer, decompile, or disassemble the Services or SDK
• Interfere with or disrupt the integrity or performance of the Services
• Use the Services to benchmark or build a competing product
• Send spam, phishing, or deceptive communications through our Services
• Use the AI features to generate harmful, misleading, or illegal content
• Circumvent any rate limits, usage quotas, or technical restrictions
• Resell or redistribute access to the Services without authorization

We reserve the right to investigate violations and may suspend or terminate accounts that breach this policy without prior notice for severe violations.

7. Intellectual Property

7.1 Our Intellectual Property

The Services, including the platform, SDK, APIs, documentation, branding, design, and all underlying technology, are owned by DIGITAL SPECIALISTS s.r.o. and protected by international copyright, trademark, and other intellectual property laws. The Conseto name, logo, and all related marks are trademarks of DIGITAL SPECIALISTS s.r.o.

7.2 Your Data

You retain all rights to your data. By using the Services, you grant us a limited, non-exclusive, worldwide license to process, store, and display your data solely as necessary to provide the Services. This license terminates when you delete your data or close your account.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant us a non-exclusive, perpetual, irrevocable license to use that feedback to improve the Services without obligation to you.

7.4 SDK License

We grant you a limited, non-exclusive, non-transferable license to embed the Conseto SDK (conseto.min.js) on your websites solely for the purpose of using the Services in accordance with these Terms.

8. Service Availability and Support

8.1 Uptime

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. The Services may be temporarily unavailable for maintenance, updates, security patches, or due to circumstances beyond our reasonable control. We will provide advance notice of scheduled maintenance where practicable.

8.2 Support

Support is provided via email at support@conseto.io. Response times and support levels vary by subscription plan. Enterprise customers may negotiate custom SLAs.

8.3 Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR MEET YOUR SPECIFIC REQUIREMENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONSETO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) €100.

These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so these limitations may not apply to you in full.

10. Indemnification

You agree to indemnify, defend, and hold harmless Conseto and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your infringement of any third-party rights
• Any claim by your website visitors related to your data processing activities
• Content or data you submit through the Services

11. Termination and Data Deletion

11.1 Termination by You

You may terminate your account at any time through your account settings at app.conseto.io or by contacting support@conseto.io. Termination takes effect at the end of the current billing period for paid plans.

11.2 Termination by Us

We may suspend or terminate your access to the Services if:

• You breach these Terms and fail to cure the breach within 14 days of notice
• You engage in a severe violation of the Acceptable Use Policy (immediate termination)
• Your account remains inactive for more than 12 months on the Free plan
• We are required to do so by law

11.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. We will:

• Stop all data collection from your websites within 24 hours
• Provide data export functionality for 30 days following termination
• Delete all your data from our active systems within 90 days
• Delete backup copies according to our regular backup rotation schedule

Data may be retained beyond 90 days only where required by applicable law.

12. Changes to Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. We will notify you of material changes by:

• Email to the address associated with your account (at least 30 days in advance)
• Prominent notice within the dashboard
• Updating the "Effective" date at the top of this page

Your continued use of the Services after the effective date of the updated Terms constitutes acceptance. If you do not agree with the changes, you must stop using the Services and close your account before the changes take effect.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13.2 Jurisdiction

Any disputes arising from or relating to these Terms shall be submitted to the exclusive jurisdiction of the courts of Ostrava, Czech Republic, unless mandatory consumer protection laws in your jurisdiction provide otherwise.

13.3 EU Consumer Rights

If you are a consumer in the European Union, you benefit from any mandatory provisions of the law of the country in which you are resident. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions. You may also bring proceedings before the courts of the Member State in which you are domiciled. EU consumers may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

13.4 Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect.

13.5 Entire Agreement

These Terms, together with the Privacy Policy and DPA, constitute the entire agreement between you and Conseto regarding the Services and supersede all prior agreements.
